Trusted Upkeep
In one fashion or
another, every company manages money, but some use a shoebox
while others employ formal process and sophisticated fiscal
controls. Every company has legal obligations for shareholder
disclosure and regulatory compliance, but some maintain clear
records, while others ignore
(or worse yet don’t
even know)
their obligations completely.
The options are varied, but the impact is clear. companies with
solid process in these areas
(what we call a "Platform of Trust")
earn higher investor trust than those companies with haphazard
or secretive tendencies. The result is a significant value
shift, because investors are loath to place their money with
companies that they don’t trust.
From an economics point of view, it’s all
about supply and demand
ie: more money will chase trusted companies than distrusted
companies,
and as a result, trusted companies will earn higher valuations.

Genesis Exchange
In
the fight for capital,
every company is measured by its ability to add value to
capital, and every company operates under a web of legal
and ethical obligations for shareholder disclosure and
regulatory compliance.
Of course the fundamentals drive
company value, but the in-ability to manage regulatory
compliance and shareholder disclosure almost always drives
valuations down by eroding investor trust.
What is needed is a credible process
for turning proactive compliance into a value builder.
After reviewing a wide range of options, from simple excel and
word processing, to customizable compliance programs, Rampworth
has concluded that the
Genesis Exchange offers the finest,
and most efficient compliance platform available for private
companies. To ensure that our clients benefit from the
full potential of this remarkable resource, we have partnered
with the Genesis Exchange at a strategic level. To take
advantage of the exchange, a company must first become
“Listed”... a process that we are expert at supporting.

Self-Help
It is possible to
self-list onto the Genesis Exchange, but some find the overall
scope of the system easier to
grasp with some expert guidance. For these companies, Rampworth
offers the Listing Guide, a web delivered educational
tool for companies who wish to understand more about the Genesis
Exchange while they self-list using the Genesis Exchange tools.
Listing Guide – a web
based knowledge resource that will guide you through the Genesis
Exchange self-serve listing process from A to Z. Based on
Rampworth’s own internal training program, the Listing Guide is
designed as a complement to the help tools and wizards provided
by the Genesis Exchange. The scope is wide, with chapters
covering everything from the overall strategy for building a
Platform of Trust, through to Cap Table design and listing
shortcuts, to funding and due diligence strategies and
downstream Genesis Exchange obligations.
In
addition to simplifying the listing process, the guide helps you
navigate the Governance options and get the most out of
stakeholder roles, while also providing on-line resources for
training stakeholders.

Full Service
Listing on the
Genesis Exchange is an extremely valuable undertaking, but it
can also be complex and time consuming. Since it is a one-time
process, some prefer to outsource the process, rather than
spending valuable company resources on this non- core activity.
For these companies, Rampworth provides a Turnkey Listing
service, and we also provide an ongoing Trusted Upkeep
service.
Turnkey Listing –
a
flat fee, turn-key service for companies who wish to become
Listed Companies on the Genesis Exchange without having to
become expert on the listing process itself. It’s a
comprehensive solution that walks you through the entire
process, from strategy & governance adoption through downstream
compliance planning, document digitization and stakeholder
training.
Trusted Upkeep
– Whether listed on the Genesis Exchange or not, Companies have
ongoing compliance and shareholder disclosure obligations.
While these obligations are more streamlined for companies
listed on the Genesis Exchange, some companies still lack the
resources or expertise to manage the ongoing tasks. Out Trusted
Upkeep service provides a full outsource service for Genesis
Exchange administration
(shareholder disclosure, compliance management and Investor
Relations).
