Capital Events – the “Off-Ramp”

Funding 101  /  Due Diligence Gap  /  Offering Prep  /  Funding Sherpa VP Value

Attracting capital, whether for a loan, equity funding or divestiture, takes place in the physical world, much as it has for decades.  The dance is choreographed by time tested rules of behavior and discourse, and to succeed, a company must have it’s fundamentals in place, it’s message honed and the core value-pillars in place atop a robust Platform of Trust.  It’s not rocket science, but it does take preparation, and entering into a capital event without an effective value-strategy is a sure way to destroy value.

It’s that spirit of preparation and strategy that underlies Rampworth’s products and services in the area of Capital Events.  There are 6 key layers in the value creation process (see the value zone) and the Rampworth value process helps you identify & resolve your company’s “Value-Gaps”.  In addition to traditional tools and techniques, we also introduce a wide range of the new tools in the Genesis Exchange to give your company an added edge against the competition for liquidity.

As always, we offer three levels of support.

Self-Help
It is possible to self-list onto the Genesis Exchange, but some find the overall scope of the system easier to navigate with some expert guidance.

a) Funding 101 “Crash Course” -
This 15 Chapter, web-delivered program covers all aspects needed to enable an entrepreneur to manage the process of securing funding entirely on their own. These self-serve modules cover every aspect of the process, from terms, & negotiation, to compliance, governance, offering memorandums, the roles of advisors etc. As with all Rampworth offerings, the program can purchased as a whole (in the form of a self paced course), individually (when only one subject is desired), or clustered in whatever order or combination best suits your specific needs.

Guided Level
For those companies who want a little more personalized help , but still want to self-list:

b) Due Diligence Gap –
½ day workshop for companies who are already in the process of initiating a capital event but lack expertise in the due diligence process.  The workshop is designed to provide a practical head-start for senior staff, before they enter into a formal Due Diligence process with a purchaser or investor.  The content focuses putting Due Diligence into perspective and defining a practical strategy and action plan (with particular attention to the relationship between key items and company value).  Guidance on process streamlining is a key benefit of the program.

c) Offering Prep.
The preparation of an offering memorandum and communication package is a critical element in the funding process and Rampworth offers several different options for support.  All levels of support include some level of exposure to the offering and communication tools provided in the Genesis Exchange.

Full Service
Presenting an offering to the investor community within Genesis Exchange is an extremely valuable undertaking, but it can also be time consuming and complex. For those firms who'd rather contract out the process and focus their resources on core activities, we offer 2 levels of Genesis offering outsource services:

d) Funding Sherpa*
In some cases, a company is looking for a more high touch level of support, particularly during the funding process.  To address this need, Rampworth can provide a comprehensive service that manages every step and detail of the process. At this level, we serve as a ‘Funding Sherpa” that guides and supports the building of your war chest.

e) VP of Value*
While it’s always possible to pick up some incremental value by cramming at the last minute, a less stressful approach is to implement a value strategy in advance… a 12 to 36 month process. In those cases where a company lacks the resources or expertise to manage the process internally, it can be useful to have a dedicated expert on a part time basis.  We call it the VP of Value, and it is a subscription based advisory service which can span anywhere from 3 months to 3 years… from1/2 day per month to full time.  The specific duties vary from company to company, but the process is definable and repeatable, and the rewards are remarkable.

*Note: Unlike our traditional products and services, which are priced on a flat fee, the Funding Sherpa & VP Value both include an equity component, typically in the form of stock options, to ensure we put our money where our mouth is when it comes to increasing value… it’s the ultimate alignment of our interests with our clients.
